Job Overview

We are seeking a Compliance Manager with broad expertise in the Anti-Money Laundering, Know Your Client, GDPR and Data Retention fields to ensure our operations continue to align with relevant legislation, regulatory requirements and industry best practice. The role involves monitoring compliance, reviewing policies, training staff, performing risk assessments, overseeing corporate governance and ensuring robust due diligence processes are in place.

Key Responsibilities

Regulatory Compliance & Governance:

  • Ensure compliance with relevant AML, KYC, GDPR, and Data Retention policies, legislation and best practice relevant to the share registration and receiving agent industry.
  • Oversee customer due diligence (CDD) and enhanced due diligence (EDD) checks for client onboarding.
  • Ensure compliance with shareholder record-keeping, data protection, and insider information policies.
  • Monitor regulatory updates and implement necessary changes to internal policies and procedures.
  • Review marketing materials, websites and presentations to ensure compliance with regulations.
  • Providing compliance guidance across all areas of the business, collaborating with teams such as HR, client services, finance and IT.
  • Act as a key liaison between the board of directors and senior management, ensuring compliance reporting and risk assessments are completed.

Training & Staff Awareness:

  • Design and deliver compliance training programs for employees on AML, KYC, GDPR, and governance best practices.
  • Provide ongoing guidance to operational teams handling shareholder records and corporate action processing.
  • Maintain training records and conduct periodic refresher sessions to reinforce compliance culture.

Risk Management & Audits:

  • Conduct compliance audits on AML/KYC procedures and data protection measures.
  • Support the board and senior management in identifying potential regulatory risks and implementing mitigation strategies.

Key Skills & Experience Required:

  • Proven experience in compliance, risk, or governance roles, ideally within the share registration, receiving agent or financial services sectors.
  • Strong knowledge of AML, KYC, GDPR, Data Retention, and relevant regulations applicable to shareholder administration.
  • Understanding of corporate governance and company meeting administration.
  • Excellent communication and stakeholder management skills, with experience in training staff and liaising with clients.
  • Ability to work independently, manage multiple compliance projects, and maintain meticulous records.

Qualifications:

  • Degree in Law, Finance, Business, or a related field (preferred).
  • Professional compliance or governance certifications (e.g. ICA, ACAMS, CGI, GDPR Practitioner or FCA-recognised qualifications) are advantageous.
